4. PREPAYMENT

5. LATE PAYMENT

6. DEFAULT

The Borrower will be in default if a payment is more than days overdue or if the Borrower breaches this Agreement. If the Borrower does not cure the default within days of written notice, the Lender may declare the entire remaining balance immediately due and payable and pursue any remedy available at law.

8. REPRESENTATIONS AND WARRANTIES

9. LEGAL FEES

If legal action is needed to enforce or interpret this Agreement, the prevailing party is entitled to recover its reasonable legal costs, including attorney's fees, from the other party, to the extent allowed by law.

10. SUCCESSORS

This Agreement is binding on the parties and their heirs, legal successors, and permitted assigns. If a party dies or becomes incapacitated, that party's estate or legal successors remain responsible for its obligations under this Agreement.

11. ELECTRONIC SIGNATURES AND COUNTERPARTS

This Agreement may be signed in counterparts, each of which is considered an original and which together form one agreement. Electronic signatures, and copies of signatures delivered by email or through an electronic signing service, have the same legal effect as handwritten signatures on an original document.

12. GENERAL PROVISIONS

(a) Governing Law. This Agreement is governed by the laws of .

(c) Amendments. Any change to this Agreement must be in writing and signed by both parties.
