PHOTOGRAPHY CONTRACT

This Photography Contract (the "Agreement") is made on between:

2. DELIVERABLES

The Photographer will deliver approximately edited photos within days after the shoot, via . Editing style is at the Photographer's professional discretion.

A non-refundable deposit of is due to reserve the date. The balance is due by . Late balances may delay delivery.

4. COPYRIGHT AND USAGE

The Photographer retains copyright of all images. On full payment, the Client receives a personal-use license to print and share the delivered photos. Commercial use, resale, or publication requires the Photographer's written permission and may involve an additional fee. Images shared publicly or on social media should credit the Photographer and may not be cropped, filtered, or otherwise altered without the Photographer's permission. The Client is responsible for ensuring guests and family follow this.

5. MODEL RELEASE AND PORTFOLIO USE

The Photographer may use images from the shoot for portfolio, website, competition, and marketing purposes unless the Client requests otherwise in writing before the shoot. The Client releases and will hold the Photographer harmless from any claim arising out of this permitted use.

6. RESCHEDULING

If the Client needs to reschedule, they will give at least days' notice. The deposit may be applied to a new date subject to availability.

7. CANCELLATION

If the Client cancels, the deposit is non-refundable. Amounts paid beyond the deposit will be refunded, less any costs already incurred. If the Photographer must cancel, they will refund all payments or, with the Client's approval, arrange a qualified replacement.

8. FAILURE TO DELIVER

If the Photographer cannot deliver due to circumstances beyond their control (illness, equipment failure, or loss of images), their liability is limited to a refund of amounts paid. The Photographer is not liable for indirect or consequential losses.

9. INDEMNIFICATION

The Client will indemnify and hold the Photographer harmless from any claims, damages, or costs arising out of the shoot or event, or the conduct of the Client's guests, except to the extent caused by the Photographer's own negligence or misconduct.

10. REPRESENTATIONS AND WARRANTIES

The Photographer will perform the Services with due care and in line with standard industry practice. Each party confirms it is authorized to enter into this Agreement.

11. FORCE MAJEURE

Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, such as acts of God, natural disasters, illness, power or communication failures, or actions of authorities. The affected party will notify the other as soon as practical and, where the shoot cannot proceed, the parties will reschedule or the Photographer will refund amounts paid for undelivered work.

12. INDEPENDENT CONTRACTORS

The Photographer is an independent contractor, not an employee of the Client. This Agreement does not create an employment, partnership, or joint venture relationship.

13. DISPUTE RESOLUTION AND LEGAL FEES

The parties will first try to resolve any dispute through good-faith negotiation or mediation, each bearing its own costs. If that fails, either party may pursue legal action, and the prevailing party is entitled to recover its reasonable attorney's fees and costs, to the extent allowed by law.

14. ELECTRONIC SIGNATURES AND COUNTERPARTS

This Agreement may be signed in counterparts, each of which is considered an original and which together form one agreement. Electronic signatures, and copies of signatures delivered by email or through an electronic signing service, have the same legal effect as handwritten signatures on an original document.

15. GENERAL PROVISIONS

(a) Governing Law. This Agreement is governed by the laws of .

(b) Entire Agreement. This Agreement is the complete agreement between the parties and replaces any prior discussions, understandings, or agreements on this subject.

(c) Amendments. Any change to this Agreement must be in writing and signed by both parties.

(d) Severability. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full effect.

(e) Waiver. If a party does not enforce a provision, it does not give up its right to enforce that or any other provision later.

(f) Assignment. Neither party may assign or transfer this Agreement without the other party's prior written consent.

(g) Notices. Any notice under this Agreement must be given in writing (email is acceptable) to the other party.
