How to Write a Consulting Agreement

A consulting agreement is the contract you use when you are hired for your expertise — advice, strategy, analysis — rather than to produce a physical deliverable. It sets the engagement, the fees, and, crucially, protects the confidential information a consultant inevitably sees. Here is how to write one that keeps both sides clear.

1. Describe the consulting services

Define the advisory work: the areas you will advise on, the format (meetings, reports, reviews), and any boundaries. Because consulting is about expertise rather than a fixed output, be clear about what is included so "a few calls" does not quietly become a full-time commitment.

2. Set fees — hourly, project, or retainer

Consultants commonly bill by the hour, per project, or on a monthly retainer. State the rate, what the retainer covers, how invoices work, and when payment is due. If there is a cap on hours or a rate for work beyond the retainer, put it here.

3. Make confidentiality strong

Consultants often see sensitive financials, strategy, and customer data, so confidentiality matters more here than in most agreements. Include a solid confidentiality clause, and for especially sensitive engagements consider a separate NDA.

4. Address IP and independent status

Say who owns any materials or recommendations you produce, and confirm that you are an independent contractor — responsible for your own taxes, free to work with other clients, and not an employee. This mirrors the classification points in an independent contractor agreement.

5. Cover term, termination, and liability

State how long the engagement runs, how either side can end it with notice, and a reasonable limit on liability. Then both parties sign before the work begins — electronic signatures are valid and take seconds.

Consulting agreement vs service agreement

The two are close cousins. Use a consulting agreement for advice and expertise; use a service agreement when you are producing a specific deliverable like a website or a design. Pick the one that matches the real nature of the work.
